OpenAI-backed Thrive Holdings acquires ADT for $7.6 billion in AI security push
Thrive Holdings, a Thrive Capital spin-out with OpenAI as partner and investor, is acquiring ADT for about $7.6 billion in equity, aiming to rebuild the security company around AI.

Thrive Holdings buys ADT
Thrive Holdings, the private equity firm spun out of Josh Kushner's Thrive Capital, has agreed to acquire ADT, the physical security company, for $10 per share, roughly $7.6 billion in equity, according to TechCrunch. ADT put the deal's total enterprise value at $15.3 billion once its broader obligations are included. The companies announced the transaction on Thursday, October 29.
Neither side laid out a product roadmap. In a press release, they indicated only that they intend to invest in ADT and bring new offerings to market, with ADT acting as the base for a new smart home security business inside Thrive Holdings.
The OpenAI connection
What makes the deal notable is who stands behind the buyer. Thrive Holdings was set up as a holding company that takes long-term positions in businesses and works to revive them with AI, TechCrunch reports. The firm says its portfolio already spans more than 75 companies.
OpenAI occupies a dual role here: it is both an investor in Thrive Holdings and a partner to it. In the partner role, OpenAI contributes AI models, technology and forward-deployed engineers, technical staff who embed directly with portfolio companies, according to the report.
A crowded field
The acquisition lands amid a burst of AI activity in physical security. As TechCrunch notes, Apple has just entered the smart home and home security market with a new product line built with LG and Schneider Electric, while Amazon has refreshed its smart home lineup with AI-powered home cameras. Some startups are pushing further still, offering robotic guard dogs that patrol properties.
Against that backdrop, buying an established security provider outright is a more aggressive move than shipping another camera or hub. It buys decades of brand recognition and an existing physical footprint rather than starting from zero.
Why it matters
The purchase is one of the clearest signals yet that AI capital is moving off the screen and into physical infrastructure. A holding company backed and supported by OpenAI is paying billions for a legacy security business, not primarily for its software, but for the customers, brand and distribution that an AI retrofit would need.
It also extends OpenAI's reach well beyond chatbots and APIs. Through Thrive Holdings, its models and engineers could end up inside homes via security hardware and monitoring services, a distribution channel entirely different from consumer apps or developer tools.
Plenty remains unresolved. Neither Thrive Holdings nor ADT said which products are coming, when they will arrive, or how exactly AI will change the service customers receive. Until those details emerge, the deal is best read as a statement of intent: the firms behind frontier AI models now see physical security as a core market, and they are willing to commit $15.3 billion in enterprise value to be part of it.
